StaalXneXt Seller / Affiliate Seller Terms & Conditions of Service

OVERVIEW

This website and online platform (the "Platform") is operated by StaalX LLC ("StaalX," "we," "us," or "our"). StaalX provides a digital marketplace and related tools that enable independent sellers to list, market, and promote steel and related products and services to buyers.

These Seller Terms and Conditions ("Seller Terms") govern your participation on the Platform as a Seller and are supplemental to, and incorporated by reference into, the StaalX User/Buyer Terms of Service. In the event of a conflict, these Seller Terms shall control with respect to seller activities.

For purposes of these Seller Terms:

  • "Seller" means an independent business or individual that lists products or services for sale on the Platform.
  • "Buyer" means a party purchasing products or services through the Platform.

Sellers are independent contractors and are not employees, agents, partners, joint venturers, or representatives of StaalX. StaalX does not own, manufacture, store, inspect, ship, or guarantee any products listed by Sellers, and StaalX is not a party to transactions between Buyers and Sellers unless expressly stated otherwise.

By accessing the Platform, creating an account, listing products, or participating as a Seller, you agree to be bound by these Seller Terms, the User/Buyer Terms of Service, and any policies or guidelines referenced herein.

If you do not agree to these Seller Terms, you may not access the Platform or participate as a Seller.

StaalX may update these Seller Terms from time to time. Material changes will be posted on the Platform, and your continued participation as a Seller after such changes become effective constitutes acceptance of the revised terms.


SECTION 1 – ONLINE PLATFORM TERMS

By agreeing to these Seller Terms, you represent and warrant that: (a) you are at least the age of majority in your jurisdiction; and (b) if you are acting on behalf of a company or other legal entity, you have the full legal authority to bind such entity to these Seller Terms.

If you invite employees, contractors, or other authorized users to access the Platform on behalf of your company ("Authorized Users"), you are solely responsible for their actions, omissions, and compliance with these Seller Terms. You agree to promptly remove access for any Authorized User who no longer requires Platform access or who violates these Seller Terms.

You may not use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose, nor may you violate any applicable local, state, federal, or international laws or regulations, including but not limited to trade compliance, tax, export controls, sanctions, or intellectual property laws.

You must not introduce, transmit, or deploy any malicious code, automated scripts, bots, scrapers, data-mining tools, reverse-engineering techniques, or other technologies intended to disrupt, exploit, or improperly access the Platform, its data, pricing logic, or services.

You may use StaalXneXt's search, quotation, checkout, and payment tools only for legitimate commercial purposes related to buying or selling products through the Platform. Any attempt to manipulate pricing, harvest data, simulate transactions, or bypass Platform safeguards is strictly prohibited.

Seller Identity & Anonymity

StaalXneXt allows Sellers to list products either under their company name or anonymously, at the Seller's sole discretion. Sellers may choose whether, when, and to what extent they disclose their identity to Buyers, including during inquiries, during a transaction, after completion of a transaction, or not at all, except where disclosure is required by law or by StaalX for compliance, risk management, fraud prevention, payment processing, or dispute resolution purposes.

Buyers acknowledge and agree that Seller identity may not be disclosed prior to or during a transaction and that StaalX does not guarantee Seller identity disclosure unless expressly stated. StaalX is not responsible for a Seller's decision to disclose or withhold identifying information, nor for any business decisions made by Buyers based on such disclosure or lack thereof.

Regardless of whether a Seller lists anonymously or under its company name, Sellers may not misrepresent their identity, credentials, inventory, authority, or product information. Any attempt to impersonate another entity or provide false or misleading information is strictly prohibited.

To protect marketplace integrity, StaalX limits the disclosure of identifying and commercially sensitive information between Buyers and Sellers prior to confirmed transactions. You may not attempt to circumvent, extract, or independently obtain confidential information about other users outside the Platform except as expressly permitted in connection with an authorized transaction, legal obligation, or a StaalX-approved process.

StaalX reserves the right, in its sole discretion, to suspend, restrict, or terminate access to the Platform for violations of these Seller Terms, suspected misconduct, or actions that harm the Platform, its users, or its reputation. In appropriate cases, StaalX may take corrective action short of termination.

StaalX also reserves the right to refuse or discontinue service to any user where reasonably necessary to protect the Platform, comply with legal obligations, or manage operational or risk concerns.


SECTION 2 – GENERAL CONDITIONS

2.1 Seller Responsibilities

Sellers participating on the StaalXneXt platform (the "Platform"), operated by StaalX LLC ("StaalX"), must satisfy StaalX's onboarding, verification, and compliance requirements prior to listing products. StaalX LLC may require additional information, documentation, certifications, or disclosures from Sellers as part of initial vetting or ongoing compliance.

Sellers are independent businesses and remain solely responsible for the accuracy, legality, and completeness of all information provided on the Platform, including product descriptions, pricing, quantities, specifications, condition, grade, origin, availability, delivery timelines, and compliance with applicable laws, regulations, and industry standards.

2.2 Listing of Inventory

Sellers may list products on StaalXneXt as:

(a) On-ground inventory, including prime or secondary material available for immediate shipment; and/or

(b) Future or forward-order inventory, including products scheduled for production and delivery at a future date, which may be two (2), three (3), four (4) months or longer, as clearly disclosed and agreed between the Buyer and Seller.

Sellers must clearly disclose product condition (including prime or secondary), availability status, and estimated delivery timeframe for each listing. Sellers are solely responsible for ensuring that listings remain accurate and updated.

Upon confirmation of an order through the Platform, Sellers must honor the agreed pricing, specifications, and delivery terms as disclosed and accepted by the Buyer, subject to mutually agreed amendments or circumstances beyond the Seller's reasonable control.

Sellers may not knowingly list inventory that is unavailable, materially misdescribed, or already committed to another buyer. Repeated failure to fulfill confirmed orders may result in suspension or termination of Seller access to StaalXneXt.

When listing steel products, Sellers must select condition classifications in accordance with StaalXneXt's standard product condition definitions.

2.3 Pricing, Final Price Adjustments & Platform Fees

All product prices listed on StaalXneXt are set solely by Sellers. StaalX LLC does not add margins, markups, or trading spreads to Seller-listed prices.

After an order is placed, a Seller may submit a final price adjustment prior to payment capture where the confirmed order amount requires modification based on updated specifications, weight, or agreed terms. Any such adjustment must be submitted through the Platform and is subject to Buyer approval before payment is processed. Buyers retain the right to approve or decline any Seller-submitted price adjustment. If a Buyer declines an adjustment, the transaction will not proceed on the adjusted terms and will be handled in accordance with the Platform's cancellation and dispute resolution procedures.

StaalX LLC may charge separate and clearly disclosed fees for Platform access, Seller subscriptions, buyer financing facilitation, logistics coordination, international trade support, or other optional services. Such fees are independent of product pricing and do not alter the Seller's listed price.

2.4 Seller Subscription Plans

Participation as a Seller on StaalXneXt may require enrollment in a Seller subscription plan offered by StaalX LLC. Subscription plans provide access to specific Platform features, listing capabilities, and visibility tools and do not guarantee sales, transaction volume, or Buyer engagement.

All Sellers, regardless of subscription tier, are subject to verification and approval prior to acceptance on the Platform.

Subscription Tiers

StaalXneXt currently offers the following Seller subscription plans, as displayed on the Platform and subject to change:

  • Basic Plan — No monthly subscription fee; limited active listings; listings subject to expiration; access to core Platform functionality.

  • Silver Plan — Monthly subscription fee with a minimum commitment period; unlimited active listings; extended or non-expiring listings; ability to invite authorized users; Buyer chat support; display of a Silver Seller badge.

  • Gold Plan — Monthly subscription fee with a minimum commitment period; unlimited active listings; enhanced visibility and placement; expanded authorized user access; Buyer chat support; branded Storefront page; display of a Gold Seller badge; eligibility for featured placement and premium Platform tools.

Specific features, pricing, and limitations applicable to each plan are incorporated by reference from the Platform at the time of subscription.

Badges & Visibility

Seller badges reflect subscription tier only and do not constitute an endorsement, certification, warranty, or guarantee by StaalX LLC regarding Seller quality, performance, reliability, or product condition. Subscription tier does not guarantee preferential treatment, sales outcomes, or Buyer selection.

Billing, Changes & Termination

Subscription fees are billed in advance. Certain plans may require a minimum commitment period, as disclosed at enrollment. Unless otherwise required by law, subscription fees are non-refundable. Upgrades, downgrades, or cancellations may take effect at the end of the applicable billing or commitment period.

StaalX LLC reserves the right to modify subscription pricing, features, or plan structures prospectively, with notice provided through the Platform.

2.5 Product Pickup, Delivery & Logistics

Delivery and transportation services are optional and may be arranged through StaalXneXt at the request of the Buyer, the Seller, or both.

Where requested, StaalX LLC may facilitate logistics coordination, including trucking, freight forwarding, or related services, for an additional fee. StaalX LLC acts solely as a facilitator and does not assume ownership, custody, or control of Seller inventory unless expressly agreed in writing.

Sellers are responsible for providing accurate warehouse details, appropriate loading equipment, trained personnel, and safe loading conditions. Seller-caused delays that result in additional transportation or waiting-time charges may be deducted from Seller proceeds following notice.

2.6 Documentation

Sellers must upload all required shipping and transaction documentation through StaalXneXt, including bills of lading, mill test reports (unless sold as "No Grade"), and any other documents reasonably required for fulfillment, compliance, or payment processing.

Payment processing may be delayed until required documentation is submitted and verified.

2.7 Evidence of Shipment & Condition

To support claims prevention and dispute resolution, Sellers must upload reasonable photographic evidence of loaded shipments in accordance with StaalXneXt documentation guidelines, clearly showing product condition and quantities at shipment.

2.8 Payment, Payout Account & Buyer Financing

Payout Account Requirement

To receive proceeds from completed transactions, Sellers must connect and maintain a valid bank account through StaalX's payment provider (Stripe Connect) prior to or during onboarding. Sellers are responsible for ensuring their payout account remains active and in good standing. Failure to maintain a valid payout account may result in delays or suspension of Seller proceeds until the account is restored. StaalX LLC is not liable for any losses arising from a Seller's failure to maintain a valid and active payout account.

Buyer Payment Options

Buyers may elect to pay using immediate payment methods, including credit card or ACH bank transfer, or, subject to approval, deferred payment terms such as Net 30, Net 60, or Net 90.

Where deferred payment terms are requested, StaalX LLC may, at its discretion, facilitate buyer financing and apply a disclosed financing or service fee. Financing approval, terms, and fees may vary based on transaction size, Buyer creditworthiness, and other risk factors.

Buyer financing arrangements are between the Buyer and StaalX LLC and do not modify the Seller's right to payment under confirmed transaction terms.

2.9 Warranties, Claims, Returns & Weight Adjustments

Warranties

Sellers represent and warrant that all products sold through StaalXneXt conform to listed specifications, are accurately described, and comply with applicable laws and industry standards.

Claims & Returns

Buyer claims must be submitted within fourteen (14) days of delivery unless otherwise agreed. StaalX LLC may facilitate claim investigation and resolution, including independent inspections where appropriate.

If a claim is substantiated due to Seller misrepresentation, non-conforming goods, or inaccurate listings, the Seller is responsible for applicable refunds, returns, and reasonable transportation or handling costs.

Sellers must maintain appropriate product liability insurance and provide proof upon request.

Post-Delivery Weight Adjustments

For transactions where material is priced and sold by weight, the Seller may submit a weight adjustment through the Platform after delivery if the actual delivered weight differs from the estimated weight at the time of order. The adjustment will result in either an additional charge to the Buyer (where actual weight exceeds estimated weight) or a credit to the Buyer (where actual weight is less than estimated weight).

Weight adjustments must be submitted through the Platform and are subject to Buyer approval. Buyers retain the right to approve or decline any submitted weight adjustment. Approved adjustments will be processed as an additional payment or refund through the Platform. Sellers must provide supporting documentation, including weight tickets or delivery records, to substantiate any weight adjustment request.

2.10 Cancellations

Sellers must accept Buyer cancellations prior to shipment, subject to reasonable administrative, logistics, or handling costs already incurred.

2.11 International Trade & Import Support

For international Sellers or mills offering products into the United States market, StaalX LLC may, upon request, assist with international trade-related services, including customs clearance coordination, documentation support, and compliance facilitation, for an additional fee.

Unless expressly agreed in writing, StaalX LLC does not act as importer of record, exporter of record, or seller of record, and does not assume ownership of goods at any point.


SECTION 3 – COMPLIANCE WITH USER / BUYER TERMS OF SERVICE

These Seller Terms apply specifically to activities conducted on StaalXneXt by Sellers.

All Sellers are also considered users of the Platform and must comply with the StaalX User / Buyer Terms of Service for all matters not expressly governed by these Seller Terms.

In the event of any conflict between these Seller Terms and the User / Buyer Terms of Service, these Seller Terms shall control with respect to Seller activities, and the User / Buyer Terms of Service shall govern all other Platform use.

Capitalized terms not defined in these Seller Terms shall have the meanings assigned to them in the User / Buyer Terms of Service.
