StaalXneXt User / Buyer Terms of Service

OVERVIEW

The StaalXneXt platform (the "Platform") is operated by StaalX LLC ("StaalX," "we," "us," or "our"). StaalXneXt is a digital marketplace that connects Buyers with independent Sellers offering steel and related products and services. StaalX LLC does not manufacture, own, or sell inventory listed on the Platform unless expressly stated otherwise.

By accessing the Platform, creating an account, submitting inquiries, requesting quotes, placing orders, or otherwise using any tools or services made available through StaalXneXt, you engage in the Platform's services (the "Service") and agree to be bound by these User / Buyer Terms of Service ("Terms"), together with any additional terms, policies, or guidelines referenced herein or made available through the Platform.

These Terms apply to all users of the Platform in their capacity as Buyers or general users. Separate terms govern participation as a Seller or Affiliate Seller and are incorporated by reference where applicable.

Please read these Terms carefully before accessing or using StaalXneXt. If you do not agree to all applicable terms and conditions, you may not access or use the Platform or any related services. By continuing to access or use the Platform, you acknowledge that you understand and accept these Terms.

StaalX LLC may introduce new features, tools, or services through StaalXneXt from time to time. Such additions shall be subject to these Terms unless expressly stated otherwise. StaalX LLC reserves the right to modify these Terms prospectively. Material changes will be posted on the Platform, and your continued use of StaalXneXt after such changes become effective constitutes acceptance of the revised Terms.

SECTION 1 – ONLINE PLATFORM TERMS

By agreeing to these Terms, you represent and warrant that:

(a) you are at least the age of majority in your jurisdiction; and

(b) if you are accessing or using the Platform on behalf of a company or other legal entity, you have the full legal authority to bind such entity to these Terms.

If you authorize employees, contractors, or other representatives to access StaalXneXt on your behalf ("Authorized Users"), you are solely responsible for their actions, omissions, and compliance with these Terms. You agree to promptly revoke access for any Authorized User who no longer requires Platform access or who violates these Terms.

You may not use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose, nor may you violate any applicable local, state, federal, or international laws or regulations, including but not limited to trade compliance, sanctions, export controls, tax laws, or intellectual property laws.

You must not introduce, transmit, or deploy any malicious code, automated scripts, bots, scrapers, data-mining tools, reverse-engineering techniques, or other technologies intended to disrupt, exploit, or improperly access the Platform, its data, pricing logic, or services.

You may use StaalXneXt search, quotation, checkout, and payment tools only for legitimate commercial purchasing purposes. Any attempt to manipulate pricing, harvest data, simulate transactions, bypass safeguards, or misuse Platform functionality is strictly prohibited.

Buyer & Seller Identity Disclosure

StaalXneXt may limit the disclosure of identifying or commercially sensitive information between Buyers and Sellers prior to or during a transaction. Sellers may elect to list products under their company name or anonymously, and may choose whether and when to disclose their identity, subject to applicable law and StaalX LLC's compliance requirements.

Buyers acknowledge that Seller identity may not be disclosed prior to or during a transaction and agree that StaalX LLC does not guarantee Seller identity disclosure unless expressly stated. Buyers may not attempt to circumvent Platform safeguards to obtain confidential information outside authorized processes.

StaalX LLC reserves the right, in its sole discretion, to suspend, restrict, or terminate access to the Platform for violations of these Terms, suspected misconduct, or actions that harm the Platform, its users, or its reputation. In appropriate cases, StaalX LLC may take corrective action short of termination.

SECTION 2 – GENERAL CONDITIONS

2.1 Buyer Responsibilities

Buyers using the StaalXneXt platform (the "Platform"), operated by StaalX LLC ("StaalX"), are responsible for the following:

  • Providing accurate, complete, and current information for Buyer accounts, company details, authorized users, billing information, warehouse or delivery addresses, and contact information.
  • Providing accurate payment information and selecting appropriate payment methods, including immediate payment or approved deferred payment options (such as Pay Later, wire transfer, or other available methods).
  • Ensuring that all products ordered meet the Buyer's specific requirements, including product type, specifications, condition (including prime or secondary, rust, bent pieces), quantity, origin, and delivery timelines as disclosed by the Seller at the time of listing and order confirmation.
  • Reviewing and accepting Seller-provided descriptions, specifications, and delivery terms prior to placing an order. StaalX LLC does not verify, certify, or guarantee Seller inventory or product descriptions.
  • Providing accurate delivery and unloading contact information and responding promptly to delivery coordination requests.
  • Ensuring timely and safe unloading of delivery vehicles at the delivery location. Unloading must occur within two (2) hours of vehicle arrival unless otherwise agreed. Delays attributable to the Buyer may result in detention, waiting-time, or related charges borne by the Buyer.
  • Providing appropriate equipment, facilities, and trained personnel (including overhead cranes, forklifts, and qualified operators) necessary to safely unload products in compliance with applicable safety standards.
  • Promptly notifying StaalX LLC and the applicable Seller of any issues related to purchased products and cooperating in good faith to resolve such issues in accordance with the Platform's Claims, Warranties, Cancellation, and Refund policies.

2.2 Marketplace Nature & No Seller Role

StaalXneXt is a marketplace platform that facilitates transactions between Buyers and independent Sellers. StaalX LLC is not the seller of record, does not own or control Seller inventory, and does not set product prices unless StaalX LLC is the seller itself.

All purchasing decisions are made by Buyers at their own discretion based on Seller-provided information. Buyers acknowledge that Sellers may list products under their company name or anonymously and that Seller identity disclosure is not guaranteed unless expressly stated.

2.3 Use of Platform & Data Restrictions

Buyers may use StaalXneXt search, quotation, checkout, and payment tools solely for legitimate commercial purchasing purposes. Buyers may not:

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform or its content without express written permission from StaalX LLC;
  • Attempt to harvest data, pricing, or Seller information through scraping, automation, or other unauthorized means;
  • Circumvent Platform safeguards or misuse tools to simulate transactions or manipulate pricing.

2.4 Communications & Content Transmission

Buyer content and communications transmitted through the Platform (excluding payment information) may be transmitted over various networks and adapted to technical requirements. Payment and financial information is encrypted during transmission in accordance with industry standards.

2.5 Enforcement & Access Restrictions

StaalX LLC reserves the right, in its sole discretion, to suspend, restrict, or terminate Buyer access to the Platform for violations of these Terms, suspected misconduct, non-payment, abuse of Platform tools, or actions that harm the Platform, Sellers, or other users. Where appropriate, StaalX LLC may take corrective action short of termination.

2.6 No Obligation to Provide Service

StaalX LLC reserves the right to refuse or discontinue service to any Buyer where reasonably necessary to protect the Platform, comply with legal obligations, manage risk, or address operational concerns.

2.7 Interpretation

The headings used in these Terms are included for convenience only and do not limit or otherwise affect the interpretation of these Terms.

SECTION 3 – ACCURACY, COMPLETENESS & TIMELINESS OF INFORMATION

Information made available on StaalXneXt, including product listings, specifications, prices, availability, delivery timelines, and other transaction-related details, is primarily provided by independent Sellers. StaalX LLC does not independently verify, certify, or guarantee the accuracy, completeness, or timeliness of Seller-provided information, except where expressly stated.

The Platform may also include general market information, historical data, estimates, or reference materials for informational purposes only. Such information should not be relied upon as the sole basis for purchasing decisions without independent verification. Any reliance on information available through the Platform is at the Buyer's own risk.

Product availability, pricing, specifications, and delivery timelines may change prior to order confirmation, particularly for future or forward-order inventory. Buyers are responsible for reviewing and confirming all material terms prior to placing an order.

StaalX LLC reserves the right to modify, update, or remove content on the Platform at any time but has no obligation to update any specific information. Buyers acknowledge that it is their responsibility to monitor changes to listings, quotes, and Platform content.

SECTION 4 – MODIFICATIONS TO THE SERVICE, PRICES & AVAILABILITY

Product prices, specifications, availability, and delivery timelines displayed on StaalXneXt are determined by independent Sellers and may change prior to order confirmation. StaalX LLC does not set, control, or guarantee Seller pricing or availability and is not responsible for changes made by Sellers before an order is confirmed.

StaalX LLC reserves the right to modify, suspend, or discontinue any aspect of the StaalXneXt Platform, including features, tools, subscription plans, fees, or services, from time to time. Such changes will apply prospectively and do not affect confirmed orders except as permitted by applicable law or agreed transaction terms.

StaalX LLC shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Platform or any Platform features, except as expressly stated in these Terms.

Nothing in this Section limits obligations arising from a confirmed order or an expressly agreed service arrangement.

SECTION 5 – PRODUCTS & SERVICES (MARKETPLACE DISCLAIMER)

Products and services made available through StaalXneXt are offered by independent Sellers and service providers. StaalX LLC does not manufacture, own, inspect, store, or sell products listed on the Platform, unless expressly stated otherwise.

Product listings may include materials available for immediate shipment or future or forward-order products with extended delivery timelines. Availability, quantities, specifications, pricing, and delivery terms are determined solely by the applicable Seller and may change prior to order confirmation.

StaalX LLC reserves the right, in its discretion, to restrict access to the Platform or limit participation by Buyers or Sellers where reasonably necessary to comply with legal obligations, manage risk, or protect the integrity of the Platform. Such restrictions do not imply control over Seller inventory or product availability.

Descriptions of products, pricing, specifications, and other listing details are provided by Sellers or third parties and are subject to change without notice prior to order confirmation. StaalX LLC does not warrant that products or services purchased through the Platform will meet Buyer expectations, nor does it provide any independent guarantees regarding quality, fitness for a particular purpose, or merchantability.

StaalXneXt may integrate or rely on third-party services, including Sellers, Affiliates, logistics providers, customs brokers, payment processors, and market intelligence providers. StaalX LLC does not control and is not responsible for the performance, accuracy, or quality of third-party services or products, except as expressly stated.

Any disputes regarding product quality, quantity, specifications, or condition are subject to the Platform's Claims, Returns, and Dispute Resolution policies and are primarily the responsibility of the applicable Seller.

Offers made through the Platform are void where prohibited by law.

SECTION 6 – ACCURACY OF BILLING & ACCOUNT INFORMATION

StaalXneXt facilitates transactions between Buyers and independent Sellers. StaalX LLC is not the seller of record and does not guarantee acceptance or fulfillment of any order.

StaalX LLC reserves the right, in its discretion, to review, suspend, reject, or cancel any order or transaction where reasonably necessary to address payment issues, credit approval, compliance requirements, suspected fraud, misuse of the Platform, Seller availability constraints, or other risk management considerations. Where practicable, Buyers will be notified using the contact information provided in their account.

Buyers agree to provide current, complete, and accurate billing, payment, and account information for all transactions conducted through StaalXneXt, including company details, authorized users, payment method information, and delivery addresses. Buyers agree to promptly update their account information to ensure accurate processing of payments, financing arrangements, and communications.

In connection with deferred payment terms or financing requests, Buyers may be required to provide additional information or documentation for credit evaluation. Approval of financing or payment terms is not guaranteed.

Buyers acknowledge that failure to provide accurate or updated billing or account information may result in delays, suspension of transactions, cancellation of orders, or loss of access to certain Platform features.

For additional details regarding disputes, claims, cancellations, or returns, Buyers should refer to the Platform's Claims, Returns, and Dispute Resolution policies.

SECTION 7 – OPTIONAL TOOLS & THIRD-PARTY SERVICES

StaalXneXt may provide access to optional tools, services, or integrations that are offered by third parties or made available through the Platform for convenience or facilitation purposes. Such tools may include, without limitation, payment services, financing options, logistics coordination, customs or trade-related support, analytics, market information, or other third-party services.

You acknowledge and agree that access to optional tools and third-party services is provided "as is" and "as available," without warranties, representations, guarantees, or conditions of any kind, whether express or implied. StaalX LLC does not endorse, control, or assume responsibility for third-party tools or services, except as expressly stated in writing.

Your use of any optional tool or third-party service is entirely at your own risk and discretion. You are responsible for reviewing and complying with any applicable third-party terms, conditions, or policies governing such tools or services. StaalX LLC shall not be liable for any loss, damage, delay, or dispute arising from your use of optional tools or third-party services.

Where StaalX LLC facilitates access to certain services (including financing, logistics coordination, or trade support), such facilitation does not constitute the provision of professional, financial, legal, or logistical advice, nor does it create a partnership, agency, or fiduciary relationship.

StaalX LLC may introduce new tools, features, services, or resources through StaalXneXt from time to time. Unless otherwise stated, such additions shall be subject to these User / Buyer Terms of Service.

SECTION 8 – THIRD-PARTY LINKS & SERVICES

Certain content, products, services, tools, or features available through StaalXneXt may be provided by or accessed through third parties, including independent Sellers, Affiliates, logistics providers, financing partners, customs brokers, analytics providers, or other external service providers.

StaalXneXt may contain links to third-party websites, platforms, or services that are not owned or controlled by StaalX LLC. Such links are provided for convenience only. StaalX LLC does not review, monitor, endorse, or assume responsibility for the content, accuracy, performance, availability, or practices of any third-party websites or services.

Any interactions, transactions, or agreements you enter into with third parties—whether accessed through links on the Platform or integrated tools—are solely between you and the applicable third party. StaalX LLC shall not be liable for any loss, damage, delay, claim, or dispute arising out of or relating to your use of or reliance on third-party content, products, or services.

You are responsible for reviewing and complying with the terms, policies, and practices of any third party before engaging in any transaction or use of their services. Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the applicable third party.

SECTION 9 – USER CONTENT, FEEDBACK & SUBMISSIONS

From time to time, you may submit, upload, transmit, or otherwise provide content through StaalXneXt, including without limitation inquiries, messages, feedback, reviews, data inputs, documents, images, files, or other materials (collectively, "User Content").

By submitting User Content, you grant StaalX LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable right to use, host, store, reproduce, modify, display, distribute, and otherwise utilize such User Content solely for the purpose of operating, maintaining, improving, and providing the Platform and related services.

StaalX LLC is under no obligation to maintain User Content in confidence, to compensate you for User Content, or to respond to any submissions, except as expressly required by applicable law or agreed in writing.

You acknowledge and agree that StaalX LLC may, but is not obligated to, monitor, review, edit, restrict, or remove User Content at its sole discretion, including content that is unlawful, misleading, abusive, defamatory, obscene, infringing, disruptive, or otherwise violates these Terms or applicable law.

You represent and warrant that:

  • You own or have all necessary rights, permissions, and authority to submit the User Content;
  • Your User Content does not infringe or violate any third-party intellectual property, privacy, confidentiality, or proprietary rights;
  • Your User Content does not contain false, misleading, or deceptive information, malware, or harmful code.

You may not submit User Content using false identities, impersonate another person or entity, or misrepresent the source or accuracy of any information. You are solely responsible for all User Content you submit and for any consequences arising from such submissions.

StaalX LLC assumes no responsibility or liability for User Content submitted by you or any third party.

SECTION 10 – PERSONAL & BUSINESS INFORMATION

Your submission of personal information, business information, and transaction-related data through StaalXneXt is governed by StaalX LLC's Privacy Policy, which is incorporated into these Terms by reference.

The Privacy Policy explains how StaalX LLC collects, uses, stores, processes, and protects personal and business information provided by users of the Platform, including Buyers, Sellers, and Affiliates.

By accessing or using StaalXneXt, you acknowledge that you have reviewed and understood the Privacy Policy and consent to the collection and use of information as described therein.

SECTION 11 – ERRORS, INACCURACIES & OMISSIONS

Information available on StaalXneXt, including product listings, specifications, prices, availability, delivery timelines, logistics estimates, and other transaction-related details, may occasionally contain typographical errors, inaccuracies, or omissions. Much of this information is provided by independent Sellers or third parties and may change prior to order confirmation.

StaalX LLC does not guarantee the accuracy, completeness, or timeliness of Seller-provided or third-party information and reserves the right to correct, update, or remove inaccurate information on the Platform at any time without prior notice.

In the event that material errors or inaccuracies are identified prior to order confirmation, the applicable listing, quote, or transaction details may be updated or withdrawn. Where an error is discovered after order submission but before final confirmation or fulfillment, StaalX LLC may, where reasonably necessary, assist in modifying or canceling the transaction in coordination with the Buyer and Seller.

StaalX LLC undertakes no obligation to update, amend, or clarify information on the Platform except as required by applicable law. The presence of a date, timestamp, or update indicator on the Platform does not imply that all information has been reviewed or updated.

Buyers acknowledge that it is their responsibility to review and confirm all material terms, including pricing, specifications, availability, and delivery timelines, prior to finalizing a transaction.

SECTION 12 – PROHIBITED USES

In addition to other restrictions set forth in these Terms, you agree not to use StaalXneXt (the "Platform") or any content, tools, or services made available through the Platform for any of the following prohibited purposes:

(a) for any unlawful, fraudulent, deceptive, or unauthorized purpose, or to solicit others to engage in unlawful activities;

(b) to violate any applicable international, federal, state, provincial, or local laws, regulations, sanctions, export controls, or trade compliance requirements;

(c) to infringe, misappropriate, or violate the intellectual property, proprietary, confidentiality, or contractual rights of StaalX LLC, Sellers, or third parties;

(d) to submit false, misleading, or incomplete information, including misrepresenting your identity, authority, intent, or purchasing capacity;

(e) to harass, abuse, threaten, defame, intimidate, or discriminate against any person or entity;

(f) to upload, transmit, or deploy viruses, malware, malicious code, automated scripts, bots, or other technologies intended to disrupt, exploit, interfere with, or improperly access the Platform or its systems;

(g) to scrape, crawl, spider, harvest, mine, or collect data, pricing, listings, or user information from the Platform without express written authorization;

(h) to attempt to bypass, defeat, or undermine Platform safeguards, including seller anonymity controls, pricing protections, access restrictions, or security features;

(i) to misuse quotes, carts, inquiries, or communications for non-commercial purposes, price manipulation, market intelligence harvesting, or simulated transactions;

(j) to spam, phish, pretext, or send unsolicited communications to Sellers, Buyers, or third parties through or in connection with the Platform;

(k) to collect, track, or misuse personal or business information of other users without authorization;

(l) to interfere with the proper operation, availability, or performance of the Platform or any related services; or

(m) for any purpose that StaalX LLC reasonably determines to be harmful to the Platform, its users, or its integrity.

StaalX LLC reserves the right, in its sole discretion, to suspend, restrict, or terminate access to the Platform for violations of this Section or suspected misuse, and may take corrective action short of termination where appropriate.

SECTION 13 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

Disclaimer of Warranties

StaalXneXt, the Platform operated by StaalX LLC ("StaalX"), is provided on an "as is" and "as available" basis. StaalX LLC does not guarantee that your use of the Platform will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

StaalX LLC makes no representations or warranties regarding the accuracy, reliability, completeness, or usefulness of any content, listings, quotes, data, or information made available through the Platform, much of which is provided by independent Sellers or third parties.

StaalX LLC does not manufacture, own, sell, inspect, or warrant any products listed or sold through the Platform. Any warranties relating to products are provided solely by the applicable Seller, if at all. To the fullest extent permitted by law, StaalX LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, durability, and non-infringement.

StaalX LLC makes no warranty or guarantee regarding financing approval, payment terms, logistics coordination, delivery timelines, customs clearance, or third-party services facilitated through the Platform.

Limitation of Liability

To the maximum extent permitted by applicable law, StaalX LLC, and its directors, officers, employees, affiliates, agents, contractors, licensors, and service providers, shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages of any kind, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, delays, replacement costs, or similar damages, arising out of or related to:

  • your access to or use of, or inability to access or use, the Platform;
  • any transaction or interaction between Buyers and Sellers;
  • any products listed, purchased, shipped, delayed, rejected, or returned through the Platform;
  • any reliance on Seller-provided information, quotes, or listings;
  • any financing, logistics, customs, or third-party services facilitated through the Platform;
  • any errors, inaccuracies, or omissions in Platform content.

This limitation applies whether the claim is based in contract, tort (including negligence), strict liability, or otherwise, and even if StaalX LLC has been advised of the possibility of such damages.

In jurisdictions where limitations of liability are restricted, StaalX LLC's liability shall be limited to the maximum extent permitted by law.

SECTION 14 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless StaalX LLC, together with its affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and representatives (collectively, "StaalX Indemnified Parties"), from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) your access to or use of StaalXneXt, including any transactions, communications, inquiries, quotes, or orders initiated through the Platform;

(b) your breach of these User / Buyer Terms of Service or any other policies or agreements incorporated by reference;

(c) your violation of any applicable law, regulation, trade compliance requirement, or third-party right;

(d) any misrepresentation, inaccurate information, or lack of authority provided by you, including representations regarding your identity, purchasing authority, payment capability, or compliance obligations;

(e) any dispute between you and a Seller, logistics provider, financing partner, customs broker, or other third party arising from transactions or services facilitated through the Platform;

(f) your misuse of Platform tools, data, listings, pricing information, or Seller anonymity protections.

StaalX LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with such defense.

This indemnification obligation shall survive termination or expiration of these Terms and your use of the Platform.

SECTION 15 – SEVERABILITY

If any provision of these User / Buyer Terms of Service is held to be unlawful, void, or unenforceable, such provision shall be enforced to the maximum extent permitted by applicable law, and the remaining portion of the provision shall be deemed severed from these Terms. The validity and enforceability of the remaining provisions shall not be affected.

SECTION 16 – TERMINATION

The obligations and liabilities of the parties incurred prior to the effective date of termination shall survive termination of these User / Buyer Terms of Service, including without limitation payment obligations, indemnification, limitation of liability, and dispute resolution provisions.

These Terms are effective unless and until terminated by either you or StaalX LLC. You may terminate these Terms at any time by ceasing to access or use StaalXneXt and, where applicable, providing notice to StaalX LLC that you no longer wish to use the Platform.

StaalX LLC may suspend or terminate your access to the Platform, in whole or in part, at any time and in its reasonable discretion, with or without notice, if:

(a) you breach or are suspected of breaching these Terms or any policies incorporated by reference;

(b) you engage in conduct that StaalX LLC reasonably believes may harm the Platform, its users, or its integrity;

(c) payment obligations are not met or financing terms are violated; or

(d) suspension or termination is required to comply with applicable law or risk management obligations.

Upon termination, you shall remain responsible for all obligations, charges, or amounts incurred prior to the termination date. Termination does not affect the rights or obligations arising from any confirmed transaction entered into prior to termination, except as otherwise agreed or required by law.

SECTION 17 – ENTIRE AGREEMENT

These User / Buyer Terms of Service, together with any policies, guidelines, or operating rules referenced herein or made available through StaalXneXt, constitute the entire agreement between you and StaalX LLC regarding your access to and use of the Platform and supersede all prior or contemporaneous agreements, communications, negotiations, or understandings, whether oral or written, relating to the subject matter hereof.

The failure of StaalX LLC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

SECTION 18 – GOVERNING LAW

These User / Buyer Terms of Service and any separate agreements through which StaalX LLC provides services to you shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.

SECTION 19 – CHANGES TO TERMS OF SERVICE

The most current version of these User / Buyer Terms of Service will always be available through StaalXneXt.

StaalX LLC reserves the right to update, modify, or replace these Terms from time to time. Any changes will be effective upon posting to the Platform and will apply prospectively. Where changes are material, StaalX LLC may provide notice through the Platform or by other reasonable means.

Your continued access to or use of StaalXneXt after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform.
